The Headlines:  

 

In the role of Legal Analyst – Corporate Governance and Finance working in Milwaukee, WI you will be part of the North America Legal team.  The person will lead the implementation and oversight of Molson Coors Beverage Company’s processes to ensure execution and documentation of corporate actions and governance procedures, assess regulatory requirements, and direct proper structuring for entity formations, acquisitions, and dissolutions. The role also includes leading all legal aspects to execute tax planning transactions and cash repatriation matters.   

 

The Responsibilities:

  • Entity Management: Lead cross-functional and cross-border teams (i.e., tax, accounting, legal, outside consultants) to assess the laws and regulations in each jurisdiction and implement actions to ensure ongoing compliance and maintenance such that each entity is in good standing to conduct business
  • Intercompany Transactions: Responsible for drafting, amending, and negotiating legal documents, including intercompany loans, capital contributions and loan funding/settlement, as well as related governance documents, including resolutions and consents, for review and approval to ensure proper structuring of intercompany arrangements and compliance with applicable laws and regulations
  • Tax Planning Transactions: Lead the legal aspects of tax planning transactions, including advising on structure, preparing documentation, and managing outside counsel, as necessary
  • Cross-Border Treasury Activities: Lead execution of cross-border treasury activities from a corporate structure, documentation, and governance perspective, including repatriation transactions and other cash moves
  • Policy and Procedure Management: Design and implement policies and procedures to enhance and ensure compliance with various legal requirements, including new entity formations, acquisitions, and dissolutions

 

The Other Qualifications:

  • You have a J.D. or Bachelor’s degree in a related field with paralegal certificate or substantial paralegal experience. An equivalent combination of education and experience may be accepted
  • You have at least 10 years of experience, in both a law firm setting and in-house legal department, with a complex international corporate structure and multiple operating units
  • Ability to work independently with little supervision in a deadline driven environment while managing multiple, competing priorities and maintaining a strong attention to detail
  • You are serious about results, and take pride in a proven track record in delivering results
  • You are confident and competent. You are diplomatic, professional and exercise great judgment in developing and maintaining excellent business relationships within the business
