The Headlines

 

The Assistant General Counsel, LATAM, is responsible for providing high quality, proactive legal advice and support to Molson Coors International (MCI). 

Responsible for overseeing all of the legal and compliance operations in the Caribbean, Central and South America.  This will involve drafting, negotiating, and implementing complex distribution, licensing and other commercial arrangements; maintaining compliance with all regulations and governmental requirements and working collabotatively with external and internal stakeholders to drive MCI objectives. This role also supports the compliance efforts for MCI Latin America and ensures employees are trained and abiding by the most up to date policies. This role supports risk assessments both in contract negotiations and in day to day operations across the functions they support.

The Responsibilities:

  • Serves as primary or support counsel on joint ventures, strategic partnerships, IP development and licensing arrangements, distribution and brewing agreements, and other business transactions in Latin America, which may include identifying key legal and business issues; and preparing and reviewing documents that govern and consummate such transactions.
  • Maintains a current in-depth knowledge with respect to the laws of Colorado, and applicable federal laws, and laws of certain other Latin American jurisdictions in which it operates, including, Argentina, Brazil, the Caribbean, Chile, Colombia, Ecuador, El Salvador, Honduras, Mexico, Panama, Paraguay and Puerto Rico. 
  • Maintains full compliance with all applicable laws and company policies.
  • Assumes other responsibilities as assigned by the MCI General Counsel.
  • Supports the adoption and implementation of appropriate processes in Latin America to achieve compliance with MCBC codes of practice and governance requirements in parts of MCI for which this role is responsible. Work closely with global ethics and compliance team to ensure aligned approach, provide support where required in terms of implementing new policies and carrying out training.
  • Performs the highest quality work in a passionate, collegial and enjoyable environment.
  • Supports and creates solutions to various issues that arise in the course of negotiating complex transactions, and identifies and implements new and creative ways to improve processes within the function.
  • Has an understanding and can support industry standards regarding both MCBC and MCI global commercial objectives to enable creative contracting solutions to address the risks inherent in the business.
  • Provides meaningful legal guidance and support to all levels of the organization with respect to regional and global initiatives and innovations.
  • Responsible for the global commercial contracting in the MCI Latin American region and ensuring that the company has appropriate risk mitigation built into the contracts by working cross-functionally with business stakeholders and the global supply chain organization. 
  • Promote compliance culture and risk awareness across different levels of staff and promote an open and transparent environment.
  • Execute ethics and compliance training and certification programs for employees, consultants and third parties as required by the MCI General Counsel.
  • Suport ethics and compliance department in conducting compliance risk assessments, third party due diligence and workplace investigations as required.

 

The Other Qualifications:

  • Juris Doctorate from a leading law school; excellent academic credentials.  Licensed or eligible to be licensed to practice in Florida or Colorado.
  • Commercially astute with strong numerical strengths and understanding of how brands contribute to financial growth
  • 7+ years in private or in-house practice, negotiating and drafting complex commercial agreements, with significant responsibility for handling own work load with minimum supervision. 
  • Experience with mergers & acquisitions, financing documents and other complex agreements. 
  • Excellent organizational and process skills, thought leadership, business perspective & is able to interact with all levels of management & staff.
  • Ability to manage external counsel.
  • Willingness to travel internationally.
  • 3-5 years experience in the food and beverage industry is preferred.
  • Experience in international law (specifically in Latin American countries) is a plus.
  • Ability to read, write and speak in both English and Spanish. Bililngual preferred.
